Terms and Conditions (AGB)

These Terms and Conditions apply to the use of the Ace platform, operated by Ace Labs UG (haftungsbeschränkt).

Conflicting terms of users do not apply.

Ace provides a digital software platform (SaaS) for organizing, managing, and networking activities related to tennis.

The specific scope of functions is determined by the current product description within the platform. Ace does not guarantee any specific success or availability of individual functions.

Use requires registration.

Information must be truthful.

User accounts are not transferable.

Ace is entitled to block or delete user accounts at its reasonable discretion, particularly in cases of

• Violations of these Terms and Conditions
• Illegal use
• Abuse or manipulation of the platform

A prior warning will be issued where reasonable.

Users may not misuse the platform.

In particular, the following are prohibited

• Illegal content
• Misleading club or identity information
• Circumvention of technical protection measures
• Disruption of the platform or other users

Community clubs and groups can be created independently by users and are not necessarily connected to real clubs or organizations.

Ace

• does not act as a representative of real clubs
• takes no responsibility for user content
• removes content or designations immediately if third-party rights (e.g., trademark or name rights) are asserted

Individual features may be offered as beta.

Beta features may

• be faulty or incomplete
• be changed or discontinued
• lose data

There is no claim to permanent availability or further development.

Ace strives for the highest possible availability but does not guarantee continuous or uninterrupted use.

Maintenance, updates, or technical disruptions may lead to temporary restrictions.

Ace is liable without limitation in cases of

• Intent
• Gross negligence
• Violation of life, body, or health

In cases of simple negligence, Ace is only liable for violation of essential contractual obligations and limited to typically foreseeable damage.

Ace is not liable for lost profit, indirect damages, or data loss unless a case of unlimited liability applies.

Use of the platform can be terminated at any time, provided there is no separate paid agreement.

Paid services are regulated separately.

Ace may amend these Terms and Conditions only for an objective reason and with effect for the future, in particular due to legal or regulatory changes, platform development, or adjustments to the scope of services.

Users will be informed of material changes in text form (e.g., by email or in-app notice) at least 30 days before they take effect.

Material changes become effective only if the user expressly agrees to them.

Without consent, the previous Terms and Conditions remain in force; each party's right to terminate remains unaffected.

Purely editorial changes that do not affect rights or obligations may be made without consent.

Ace stores the contract text (these Terms and Conditions and, where applicable, information on booked services) after conclusion of the contract in compliance with applicable data protection requirements.

Users can access, download, and save the current version of these Terms and Conditions on the platform at any time.

The contract language is German.

German law applies.

For consumers, the statutory place of jurisdiction applies.

For entrepreneurs, the place of jurisdiction is the seat of Ace.

Should individual provisions be invalid, the validity of the remaining regulations remains unaffected.
