Terms and Conditions

The rules for using Ace – clear and fair.

1. Provider and scope

These Terms and Conditions ("Terms") apply to the use of the Ace platform – including the website, mobile apps and related services – operated by Ace Labs UG (haftungsbeschränkt), Bodelschwinghstr. 1, 48527 Nordhorn, Germany ("Ace", "we").

Conflicting terms of users do not apply. Information on how we process personal data can be found in our Privacy Policy.

2. Definitions

  • "Service" means the Ace platform, including the website, mobile applications and all related features.
  • "User" or "you" means any person or organisation using the Service.
  • "Content" means all information, data, text, images, videos or other material uploaded, posted or transmitted through the Service.
  • "Account" means the user profile and associated data created at registration.

3. Services, availability and beta features

Ace provides a digital software platform (SaaS) for organising, managing and connecting tennis-related activities. The exact scope of functions follows from the current product description within the platform. Ace does not owe a particular result or the availability of individual features.

We strive for the highest possible availability but do not owe uninterrupted or fault-free use. Maintenance, updates or technical faults may cause temporary restrictions.

Individual features may be offered as beta. Beta features may:

  • be faulty or incomplete,
  • be changed or discontinued,
  • lead to data loss.

There is no entitlement to the permanent availability or further development of beta features.

4. Registration, age and account

Using the platform requires registration. Your details – including your date of birth – must be truthful, complete and up to date. Accounts are not transferable.

You can create your own account from the age of 7. If you are under 16, you need a parent's consent: we send the parent a confirmation link by email, and the account stays locked until it is confirmed. If consent is not given within 14 days of the first request, the account is deleted. A date of birth that results in an age under 16 can only be changed via support.

You are responsible for keeping your credentials confidential and for all activity under your account, and you must tell us immediately about any unauthorised use.

You may not create an account if you were previously suspended from the Service, if you create an account for someone else without permission, or if you use automated means to do so.

5. User duties

You agree to use the platform responsibly. In particular, the following is prohibited:

  • illegal, fraudulent or otherwise prohibited use,
  • abusive, intimidating, harassing, threatening or discriminatory behaviour towards other users,
  • impersonating Ace, staff, other users or persons, and misleading club or identity details,
  • violating the privacy of others, e.g. by sharing personal data without consent,
  • spam, chain letters and unsolicited advertising,
  • infringing third-party rights, in particular copyright, trademark and name rights,
  • attempting unauthorised access to systems, accounts or networks, and circumventing technical safeguards,
  • disrupting or impairing the platform or other users,
  • using bots, crawlers or other automated means without our express consent,
  • providing false or misleading information when registering or using the Service,
  • unauthorised commercial use or reselling access,
  • uploading viruses, malware or other harmful code.

6. User content

You keep all rights to content you submit through the Service ("User Content"). You grant us a non-exclusive, worldwide right, limited to the duration of storage, to store and technically process your User Content and to display it within the Service – according to your visibility settings also to other users – as far as necessary to provide the Service.

You are responsible for your User Content and confirm that you hold the necessary rights. User Content must not contain illegal, offensive, defamatory or infringing material.

We are not obliged to monitor User Content. If we become aware of content that violates the law or these Terms, we may remove it. Section 7 explains how to report illegal content and how we handle reports.

7. Reports, moderation and objections

Anyone – with or without an Ace account – can report illegal content and content that violates these Terms using our reporting form at www.playace.de/en/inhalte-melden (Art. 16 Digital Services Act, “DSA”). Signed-in users can also report posts and users directly in the app. Our point of contact under Art. 11 and 12 DSA is legal@playace.de (in German or English).

A report should include:

  • an explanation, as precise as possible, of why the content is illegal or violates these Terms,
  • the exact location, such as the URL or a description of where the content can be found in the app,
  • your name and email address – except for reports of child sexual abuse, which can also be made anonymously,
  • your statement that the information is accurate and complete to the best of your knowledge.

If you provide an email address, we confirm receipt of your report and inform you of our decision. We review reports promptly, diligently, objectively and in a non-arbitrary manner. Decisions on reports are made by Ace staff; we do not use automated systems to detect, assess or remove content.

Depending on the nature and severity of a violation, we may:

  • remove individual content or disable access to it,
  • temporarily suspend accounts or terminate them in accordance with section 10.

In doing so, we take into account the rights and legitimate interests of everyone involved, in particular freedom of expression, and choose the least restrictive suitable measure.

If we restrict your content or your account, we inform you at the latest when the restriction takes effect, with a clear and specific statement of reasons (Art. 17 DSA), provided we have your contact details. We only disclose the identity of the person who submitted a report where this is strictly necessary for the review – for example in the case of copyright or trademark infringements – or where we are legally obliged to do so.

You can object to our decision on a report or on a measure taken against your content or account within six months by emailing legal@playace.de; please quote the reference or the content concerned. We will then have the decision reviewed again by a human and inform you of the outcome. Your right to go to court remains unaffected.

If we become aware of information giving rise to a suspicion that a criminal offence involving a threat to the life or safety of persons has taken place, is taking place or is likely to take place, we promptly inform the competent law enforcement or judicial authorities (Art. 18 DSA).

In short, for children and teenagers: If you see something on Ace that is forbidden, mean or dangerous, you can report it to us – in the app or using the reporting form. We look at every report. If someone breaks the rules, we can delete their posts or block their account. If we delete something of yours or block your account, we tell you why. If you think that is wrong, you can write to us and we will look at it again. If you are scared or someone threatens you, talk to your parents or another person you trust.

8. Community clubs and third-party content

Community clubs and groups can be created independently by users and are not necessarily connected to real clubs or organisations. Ace:

  • does not act as a representative of real clubs,
  • takes no responsibility for user content, subject to our statutory obligations,
  • removes content or names without delay if third-party rights (e.g. trademark or name rights) are asserted.

9. Paid services, subscriptions and withdrawal

Some features may be subject to a fee. Prices and scope of services are shown to you before you conclude a contract.

Subscriptions are billed in advance for each billing period. You can cancel a subscription at any time with effect from the end of the initial term shown at the time of purchase; if you do not cancel, it renews automatically. For consumers: after the initial term, the subscription continues for an indefinite period and can be cancelled at any time with one month's notice; we refund, pro rata, any fees paid in advance for the period after the cancellation takes effect. You can cancel via the “Cancel contracts here” button at the bottom of every page of our website (no login required), by email to admin@playace.de or by otherwise contacting us.

Consumers have a statutory right of withdrawal. You will receive the withdrawal information and, where applicable, the notice on early expiry of the right of withdrawal during checkout.

Refunds are made where required by law (e.g. after withdrawal or under warranty) or granted by us as a goodwill gesture. If you have questions about a charge, please contact us first so we can resolve it directly.

Price changes for existing subscriptions only take effect in accordance with section 13.

10. Term, termination and suspension

You can stop using free features at any time by deleting your account in the settings or contacting us. Section 9 applies to paid services. Both parties' right to terminate for good cause remains unaffected.

We may suspend or delete accounts at our reasonable discretion, in particular for violations of these Terms, unlawful use, or abuse and manipulation of the platform. We give prior warning where reasonable. We tell you the reasons where required by law.

After termination, your data is deleted in accordance with our Privacy Policy, subject to statutory retention obligations.

11. Intellectual property

The Service, its content, features, design and underlying technology are protected by copyright and other rights and remain with Ace and its licensors. Our trademarks and logos may not be used without prior written consent.

We grant you a non-exclusive, non-transferable, revocable right to use the Service to the contractually intended extent. Content of the Service may not be copied, distributed, publicly reproduced, modified or sold without our consent.

12. Liability

Ace is liable without limitation for:

  • intent and gross negligence,
  • injury to life, body or health,
  • claims under the Product Liability Act and assumed guarantees.

In cases of simple negligence, Ace is only liable for breach of essential contractual obligations (obligations whose fulfilment makes proper performance of the contract possible in the first place and on which you may regularly rely), limited to the typically foreseeable damage.

Liability for lost profit, indirect damage and data loss is excluded in cases of simple negligence, unless a case of unlimited liability applies. Statutory warranty rights of consumers remain unaffected.

13. Changes to these Terms

We may change these Terms only for a material reason and with effect for the future, in particular in case of legal or regulatory changes, further development of the platform or adjustments to the scope of services.

We inform users of material changes at least 30 days before they take effect, in text form (e.g. by email or in-app notice). Material changes only take effect if the user expressly agrees. Without consent the previous Terms continue to apply; both parties' right to terminate remains unaffected.

Purely editorial changes without impact on rights and obligations may be made without consent.

14. Contract text and language

We store the contract text (these Terms and, where applicable, details of booked services) after the contract is concluded, in compliance with data protection requirements. You can access, download and save the current version at any time on the platform.

The contract language is German. In case of discrepancies, the German version prevails.

15. Dispute resolution

In case of disagreements, please contact us first so that we can find an amicable solution. Your right to go to court remains unaffected.

We are not willing or obligated to participate in dispute resolution proceedings before a consumer arbitration board.

16. Governing law and final provisions

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice of law only applies insofar as mandatory consumer protection provisions of the state where you habitually reside do not conflict.

For consumers, the statutory place of jurisdiction applies. For merchants, legal entities under public law and special funds under public law, the exclusive place of jurisdiction is Ace's registered office (Nordhorn).

If individual provisions are invalid, the remaining provisions stay effective. Not exercising a right is not a waiver of it.
