1. Agreement to Terms

By accessing or using the PlayAce platform ('the Service'), you agree to be bound by these Terms of Service ('Terms'). If you disagree with any part of these terms, you may not access the Service. These Terms constitute a legally binding agreement between you and PlayAce regarding your use of the Service.

2. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

3. User Conduct

You agree not to engage in any of the following prohibited activities:

• Using the Service for any purpose that is illegal or prohibited by these Terms.
• Engaging in any behavior that is harmful, offensive, intimidating, or abusive to other users.
• Impersonating or attempting to impersonate PlayAce, a PlayAce employee, another user, or any other person or entity.
• Violating the privacy of other users by sharing their personal information without consent.
• Sending unsolicited promotional messages, spam, or any form of unauthorized advertising.
• Infringing on intellectual property rights, including copyright and trademark.

4. User Content

You retain any and all of your rights to any content you submit, post, or display on or through the Service. By submitting, posting, or displaying content on or through the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, publish, translate, and distribute your content in any and all media or distribution methods. You are responsible for your use of the Service, for any content you provide, and for any consequences thereof.

5. Payments and Subscriptions

Some aspects of the Service may be provided for a fee. You will be required to select a payment plan and provide accurate information regarding your payment method. You agree to pay all fees at the prices displayed to you for the Services you use. We may change the fees for any feature of the Service, institute new fees, or charge additional fees at any time upon reasonable notice.

6. Cancellation and Termination

You can cancel your subscription at any time by contacting us. Upon cancellation, your right to use the premium features of the Service will immediately cease. If you cancel during your subscription period, we will not refund any fees already paid for your current subscription period. We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach the Terms.

7. Intellectual Property

The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of PlayAce and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of PlayAce.

8. Limitation of Liability

In no event shall PlayAce, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

9. Indemnification

You agree to defend, indemnify, and hold harmless PlayAce and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses, resulting from or arising out of your use and access of the Service, or your violation of these Terms.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of Germany, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
