Terms of Service

1. Agreement to Terms

By accessing, browsing, or using the PlayAce platform and related services ("the Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you disagree with any part of these terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and PlayAce regarding your use of the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Definitions

  • "Service" refers to the PlayAce platform, including our website, mobile applications, and all related features and functionalities.
  • "User," "you," or "your" refers to any individual or entity that accesses or uses our Service.
  • "Content" refers to any information, data, text, images, videos, or other materials uploaded, posted, or transmitted through the Service.
  • "Account" refers to the user profile and associated data created when you register for our Service.

3. Eligibility and Account Registration

You must be at least 16 years old to use our Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms. When you create an account, you must provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

Account Restrictions:

You may not create an account if you have been previously banned from our Service, if you are creating an account for someone else without permission, or if you are using automated means to create accounts.

4. User Conduct and Prohibited Activities

You agree to use our Service responsibly and not to engage in any of the following prohibited activities:

  • Using the Service for any purpose that is illegal, fraudulent, or prohibited by these Terms or applicable law.
  • Engaging in any behavior that is harmful, offensive, intimidating, abusive, harassing, threatening, or discriminatory toward other users.
  • Impersonating or attempting to impersonate PlayAce, our employees, another user, or any other person or entity.
  • Violating the privacy of other users by sharing their personal information without consent or attempting to access their private data.
  • Sending unsolicited promotional messages, spam, chain letters, or any form of unauthorized advertising or commercial solicitation.
  • Infringing on intellectual property rights, including copyright, trademark, patent, or trade secret rights of PlayAce or third parties.
  • Attempting to gain unauthorized access to our systems, other user accounts, or computer networks connected to our Service.
  • Interfering with or disrupting the Service, servers, or networks connected to the Service, or violating any requirements or policies of such networks.
  • Using automated scripts, bots, crawlers, or other automated means to access or use the Service without our express written permission.
  • Providing false, misleading, or inaccurate information when registering or using the Service.
  • Using the Service for unauthorized commercial purposes or reselling access to the Service.
  • Uploading, posting, or transmitting viruses, malware, or other malicious code that could harm our Service or users' devices.

5. User Content and Intellectual Property

You retain ownership of any content you submit, post, or display on or through the Service ("User Content"). However, by submitting User Content, you grant PlayAce a worldwide, non-exclusive, royalty-free, transferable license (with the right to sublicense) to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Service and our business operations.

You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that you own or have the necessary rights to use and authorize the use of your User Content as described in these Terms.

Content Guidelines:

User Content must not contain material that is illegal, offensive, defamatory, infringing, or otherwise objectionable. We reserve the right to remove any User Content that violates these Terms or our community guidelines.

We may, but are not obligated to, monitor, review, or remove User Content at our discretion. We reserve the right to remove any content that violates these Terms or is otherwise objectionable.

6. Payments, Subscriptions, and Refunds

Certain features of the Service may require payment of fees. All fees are non-refundable unless otherwise specified or required by law. You agree to pay all applicable fees as described on the Service at the time of purchase. We may change our fees at any time with reasonable notice.

Subscriptions:

Subscription fees are billed in advance on a recurring basis. Your subscription will automatically renew unless you cancel before the renewal date. You can cancel your subscription at any time through your account settings or by contacting us.

Refunds:

Refunds are generally not provided except as required by law or in exceptional circumstances at our sole discretion. If you believe you are entitled to a refund, please contact our support team.

Payment Disputes:

If you have any concerns about charges, please contact us before disputing with your payment provider to allow us to address the issue directly.

7. Account Termination and Suspension

You may terminate your account at any time by following the account deletion process in your settings or by contacting us. Upon termination, your right to use the Service will cease immediately, and we may delete your account and associated data, subject to legal retention requirements.

Suspension by PlayAce:

We may suspend or terminate your account immediately, without prior notice, if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion. We will provide notice of termination where legally required.

Effect of Termination:

Upon termination, all licenses and rights granted to you under these Terms will immediately cease. Provisions that by their nature should survive termination will remain in effect, including intellectual property rights, limitation of liability, and dispute resolution.

8. Intellectual Property Rights

The Service and its original content, features, functionality, design, and underlying technology are and will remain the exclusive property of PlayAce and its licensors. The Service is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks, service marks, and logos may not be used without our prior written consent.

Limited License:

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use.

Restrictions:

You may not modify, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information or content obtained from the Service.

9. Disclaimers and Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

We make no representations or warranties about the accuracy, completeness, or suitability of any information, content, or materials contained in or accessed through the Service. Your use of the Service is at your own risk.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PLAYACE, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless PlayAce and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, debt, and expenses (including attorney's fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you post or transmit through the Service.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Germany, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Hamburg, Germany, and you hereby consent to personal jurisdiction and venue therein. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

13. Dispute Resolution

Before filing any formal legal proceedings, you agree to first contact us to attempt to resolve any dispute informally. If we cannot resolve the dispute within 60 days, either party may pursue formal legal action. For disputes involving amounts under €5,000, you agree to resolve disputes through binding arbitration in accordance with German arbitration law.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

14. Severability and Waiver

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

15. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and PlayAce regarding the Service and supersede all prior agreements and understandings, whether written or oral.

16. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice before any new terms take effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Service.
